Legal
Terms of Service
DevNoun LLC, doing business as Form Vessel. Effective . Last updated .
These Terms of Service (“Terms”) are a legal agreement between you and DevNoun LLC, a Nevada limited liability company, doing business as “Form Vessel” (“DevNoun,” “Form Vessel,” “we,” “us,” or “our”) governing your access to and use of (a) the Form Vessel website located at https://formvessel.com and any related webpages, including the Form Vessel Learning Center and any forms, feeds, and machine-readable representations of them (the “Site”); (b) the Form Vessel hosted form-building service, including the form builder, hosted and embedded forms, submission storage, the dashboard, organization and agency accounts, and any APIs (the “Service”); and (c) related content, tools, and communications. “You” means you and, if you use the Site or the Service on behalf of a company or other entity, that entity as well.
IMPORTANT: The Site publishes general information about online forms, intake workflows, and the Health Insurance Portability and Accountability Act (“HIPAA”). Content is not legal, compliance, medical, or other professional advice, and no software can make an organization HIPAA compliant on its own (see Section 6). If you use the Service to collect protected health information, a signed Business Associate Agreement (“BAA”) with DevNoun governs that information and controls over these Terms where they conflict (see Section 5).
By accessing or using the Site or the Service, you agree to these Terms. If you do not agree, do not use them.

You must be at least 18 years old to access the Site or create or use an account on the Service.
By using the Site or the Service, you represent and warrant that:
- you are 18 years of age or older, or you have been declared emancipated under applicable law and have full legal capacity to enter into these Terms;
- you have the legal authority to enter into and be bound by these Terms, including on behalf of any company you represent; and
- your use of the Site and the Service complies with all applicable laws and regulations.
A person who fills out a form that a Customer publishes through the Service (a “Respondent”) does so under the Customer’s own terms and notices. The Customer is responsible for determining who may fill out its forms, including any parent or guardian consent the law requires.
3. Changes to the Site, the Service, and the Terms
3.1 Site and Service Changes
We may modify, replace, suspend, limit, or discontinue any part of the Site or the Service at any time, including:
- content, pages, and feature availability;
- form elements, templates, integrations, and the machine-readable representations of content;
- usage limits, storage limits, rate limits, throttling, or quotas; and
- access to integrations or third-party services.
We have no obligation to provide any specific feature or maintain backward compatibility, except as a signed written agreement with you expressly provides.
3.2 Terms Changes
We may update these Terms at any time. If changes are material, we will provide reasonable notice (e.g., via the Site, the Service, or email). Your continued use of the Site or the Service after changes become effective means you accept the updated Terms.
4. Accounts, Organizations, and Security
The Service requires an account. If you hold an account, you agree to:
- provide accurate and current information and keep it current;
- keep your credentials, your email account, your two-factor authentication devices, and any sign-in codes we send you confidential; and
- promptly notify us at legal@formvessel.com of unauthorized use.
You are responsible for all activity on your account, whether or not you authorized it.
Organizations and agencies. Accounts belong to an organization (a “Customer”). An organization’s owners and administrators may invite, manage, and remove members, assign roles, and bind the organization to these Terms. An agency account may create and manage client organizations; the agency represents that it has authority to act for each client and is responsible for its clients’ use of the Service. We may rely on instructions from any owner or administrator of an organization.
5. The Service, Customer Data, and HIPAA
5.1 Customer Data
“Customer Data” means the forms, templates, branding, settings, and other material a Customer builds or uploads in the Service, and the submissions, files, and other information Respondents provide through a Customer’s forms. As between you and DevNoun, the Customer owns its Customer Data. DevNoun processes Customer Data on the Customer’s behalf as described in Section 7.1, our Privacy Policy, and any BAA.
5.2 Protected Health Information and the BAA
If a Customer uses the Service to create, receive, maintain, or transmit protected health information (“PHI”) as HIPAA defines it, the Customer must first enter into DevNoun’s BAA. The BAA governs PHI and controls over these Terms and the Privacy Policy with respect to PHI. Do not send PHI through the Site’s marketing forms, by email, or through any channel other than a form published through the Service under a signed BAA.
5.3 Your Responsibilities
The Customer is solely responsible for:
- the content, design, and legality of its forms, including every question it asks and every notice, consent, or authorization it collects or fails to collect;
- determining whether the Service, as it configures it, is appropriate for the data it collects, and for its own HIPAA, privacy, consumer-protection, and other compliance obligations, including administrative and physical safeguards within its organization;
- the accuracy of the data it enters and the decisions it makes based on submissions;
- managing access by its members, agencies, and clients, and the security of the devices and accounts they use;
- exporting Customer Data it wishes to keep before its subscription ends or its organization is deleted; and
- its Respondents, including providing them with any privacy notice the law requires.
5.4 Service Data
Information about how the Service is used that is not Customer Data, such as feature usage, performance, diagnostics, and security logs, is DevNoun’s, and we may use it for any lawful purpose, including to operate, secure, and improve the Service and to develop new features and offerings. Where it is derived from Customer Data, we use it only in aggregated or de-identified form, and PHI only as the BAA allows.
6. Content, No Professional Advice, and Machine Access
6.1 Informational Content Only
The Site publishes articles, guides, templates, posts, and other content, and may make suggestions, checklists, or other outputs available (“Content”). Content:
- may be inaccurate, incomplete, or out of date;
- may not reflect current laws, regulations, or agency guidance, which change and vary by jurisdiction; and
- is provided for general informational purposes only.
You are solely responsible for verifying Content before relying on it and for the decisions and actions you take based on it.
6.2 No Professional Advice and No Compliance Guarantee
The Site and the Service do not provide legal, compliance, medical, or other professional advice, and no Content has been reviewed by a licensed professional unless the page says so. The Service provides technical safeguards designed to support a Customer’s HIPAA compliance program; it does not make the Customer compliant, and we do not guarantee that your use of the Service will satisfy HIPAA or any other law. Confirm anything you rely on with qualified counsel or a compliance professional.
6.3 No Endorsement
Mentions of other companies’ products and services are for information only. They are not endorsements or recommendations.
6.4 Machine-Readable Content and Content Policy
We may make Content available to software through feeds, markdown representations, structured data, and APIs. Subject to these Terms, you may read Content for your own personal, non-commercial reference and, if you operate a search engine or AI assistant, index Content and show brief excerpts or summaries of it, each with attribution to Form Vessel and a link to the source page. Without our prior written consent, you may not:
- use Content to train, fine-tune, evaluate, or otherwise develop machine learning or AI models;
- copy Content in bulk, mirror it, frame it, or scrape it, or access it beyond any published rate limits;
- reproduce, republish, sell, license, or redistribute Content, in whole or in substantial part, in any medium;
- create derivative works of Content, including translations, adaptations, rewrites, courses, tutorials, videos, or other materials that follow, recreate, or closely paraphrase it;
- present Content, or anything derived from it, as your own; or
- remove or alter attribution, copyright notices, or links.
Quoting more than a brief excerpt, or quoting without attribution and a link, is not permitted.
Our machine-readable signals (for example, robots.txt, llms.txt, and Content-Signal headers) state these permissions and are part of these Terms. Access to any API is subject to rate limits and may be suspended or revoked at any time.
6.5 AI Summaries
Content reached through a third-party AI system, search engine, or other intermediary may be summarized incorrectly or out of context. The page on the Site is the authoritative version. We are not responsible for how third-party systems present Content.
7. User Content
7.1 Customer Data: License to Operate the Service
The Customer grants DevNoun a worldwide, non-exclusive, royalty-free license to host, store, reproduce, process, transmit, display, modify (for example, to format or back up), and create derivative works of Customer Data solely to the extent necessary to provide, secure, support, maintain, and improve the Service, to prevent fraud and abuse, to comply with law, and to enforce these Terms, and to create and use aggregated or de-identified data that does not identify the Customer or any Respondent. PHI is used and disclosed only as the BAA and HIPAA permit. This license lasts for as long as Customer Data is in the Service, plus any period needed for backups, legal holds, and the uses of aggregated or de-identified data, which survive.
7.2 Other Submissions: License to Us
Apart from Customer Data, you may submit or send content such as questions, messages, feedback, testimonials, reviews, suggestions, screenshots, descriptions of your workflows, or, if you hold a staff account, pages and other materials (“User Content”). You retain ownership of your User Content, subject to the license in this Section. You waive any moral rights or rights of attribution in User Content to the extent permitted by law.
You grant DevNoun a perpetual, irrevocable, worldwide, non-exclusive, royalty-free, fully paid, transferable, sublicensable license to host, store, reproduce, modify, create derivative works of, use, publish, display, distribute, and commercialize your User Content, in any medium now known or later developed, and under any patent or other intellectual property right you hold in it to make, have made, use, sell, offer for sale, import, and otherwise exploit anything that embodies it, as described in our Privacy Policy and Section 7.6, including to:
- operate, maintain, and improve the Site and the Service;
- respond to your question or message and create Content, and develop new content, features, and offerings, all of which DevNoun owns even where they are based on or answer your User Content;
- provide support;
- prevent fraud, abuse, and security incidents;
- comply with legal obligations; and
- enforce these Terms.
7.3 You Must Have Rights
You represent and warrant that you have all rights, consents, and authorizations needed to provide your Customer Data and User Content, and that providing them does not violate any law or any third-party rights.
7.4 No Confidential Information
Do not send us confidential information or trade secrets through the Site, by email, or in support channels unless a written confidentiality agreement with DevNoun (for example, the BAA, as to PHI) covers it. Absent such an agreement, information you submit is not received in confidence, and we may use it as these Terms and our Privacy Policy allow.
7.5 Contributions by Staff and Contributor Accounts
If you hold a staff, contractor, or contributor account issued by us and you create or edit Content, templates, pages, posts, code, designs, or other material for the Site or the Service (“Contributions”), you hereby assign to DevNoun all right, title, and interest, including all copyrights, patent rights, and other intellectual property rights, in your Contributions, and you waive any moral rights in them to the extent permitted by law. To the extent an assignment is not permitted, you grant DevNoun the license in Section 7.2 and agree not to assert any of those rights against DevNoun or its licensees. You agree to sign any document we reasonably request to confirm or record this assignment. A separate written agreement with DevNoun (for example, an employment, contractor, or contributor agreement) controls if it conflicts with this Section. This Section does not apply to a Customer’s Customer Data.
7.6 Publication
To the extent permitted by applicable law, we may publish, display, quote, and use User Content, and your name or the name you give us, in connection with the Site, the Service, and our marketing, for example by answering your question in a guide or quoting your feedback, and we may edit published material and retain it in the Site’s revision history. Published material is subject to Section 6.4. We will not name your organization as a customer in marketing without your permission, and we never publish Customer Data. If you do not want to be identified, tell us at privacy@formvessel.com.
8. Acceptable Use and Prohibited Conduct
You agree not to, and not to help others to:
- Use the Site or the Service for any illegal, harmful, deceptive, or abusive purpose, including to collect information without the consents and notices the law requires.
- Harass, threaten, defame, or exploit others, or send unsolicited bulk messages.
- Upload or transmit malware, spyware, or other harmful code.
- Attempt to gain unauthorized access to the Site, the Service, another Customer’s data, or related systems, or circumvent rate limits, access controls, or authorization.
- Reverse engineer, decompile, disassemble, or attempt to discover the source code of the Service, except where prohibited by law.
- Scrape, harvest, or collect data from the Site or the Service except as expressly permitted by Section 6.4 or by us in writing.
- Interfere with, disrupt, or overload the Site or the Service, including via automated requests, or test their vulnerability without our written permission.
- Use the Site or the Service to generate or disseminate content that infringes intellectual property or privacy rights.
- Misrepresent your identity or affiliation, including when creating an organization, inviting members, or submitting a form.
- Use the Site, the Service, or their Content to develop, train, or promote competing content, products, services, or AI models (except where prohibited by law).
- Resell, sublicense, or provide the Service to third parties except as an agency account expressly allows.
- Send PHI through any channel other than a form published through the Service under a signed BAA.
We may investigate and take any action we deem appropriate, including suspending or terminating accounts and organizations and revoking API access.
9. Intellectual Property
The Site, the Service, and all Content, including software, designs, text, photographs, video, graphics, diagrams, templates, logos, and their selection and arrangement, and all related intellectual property, are owned by DevNoun or its licensors and are protected by copyright, trademark, and other laws. All rights not expressly granted in these Terms are reserved. Nothing in these Terms transfers ownership of any intellectual property to you, and no license is implied, whether by estoppel or otherwise.
Form Vessel, the Form Vessel logo, DevNoun, and related names, logos, and marks are trademarks of DevNoun LLC or its licensors. You may not use them, or anything confusingly similar, without our prior written consent, including to name, market, or describe a product or service, or in a way that suggests we sponsor or endorse you, except to give the attribution these Terms require. Names and logos of other companies shown on the Site belong to their owners, identify the companies or products referred to, and do not imply their endorsement of Form Vessel or Form Vessel’s endorsement of them.
9.1 Limited License to You
Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license (a) to access and use the Site and its Content for your own personal, non-commercial reference, and (b) during your subscription, to access and use the Service for your organization’s own internal business operations, in accordance with your subscription and these Terms. Forms you publish may be filled out by your Respondents. We may revoke this license at any time. Any use beyond it, unless we expressly allow it in writing, infringes our rights and breaches these Terms.
9.2 Enforcement
We may enforce our rights by any lawful means, including takedown notices to hosting providers and platforms, injunctive relief, and claims for damages. You agree that a breach of Sections 6.4, 8, or 9 would cause us irreparable harm for which money damages would be inadequate, and that we may seek an injunction without posting a bond, in addition to any other remedy.
9.3 Copyright Complaints (DMCA)
We respect intellectual property rights and expect users to do the same. If you believe material on the Site or the Service infringes your copyright, send a written notice to our designated agent that includes: (a) your physical or electronic signature; (b) identification of the copyrighted work you claim is infringed; (c) identification of the material you claim is infringing and where it is on the Site or the Service, with enough detail for us to find it; (d) your address, telephone number, and email address; (e) a statement that you have a good-faith belief that the use is not authorized by the copyright owner, its agent, or the law; and (f) a statement, under penalty of perjury, that the information in your notice is accurate and that you are the copyright owner or authorized to act for the owner.
Designated agent: DevNoun LLC d/b/a Form Vessel, Attn: Copyright Agent, 7465 W Lake Mead Blvd Ste 100, Las Vegas, NV 89128, USA; legal@formvessel.com.
If material you posted was removed because of a notice and you believe it was removed by mistake or misidentification, you may send a counter-notice to the same agent with the information required by 17 U.S.C. § 512(g)(3). We may remove material and suspend or terminate the accounts of users who repeatedly infringe, at our discretion. A notice that knowingly misrepresents infringement may expose the sender to liability for damages.
10. Feedback and Unsolicited Ideas
“Feedback” means any suggestion, idea, concept, invention, design, feature request, or other feedback you send us, by any means, whether or not we asked for it. You agree that:
- No confidentiality. Feedback is not confidential or proprietary, and we have no obligation to keep it secret, review it, respond to it, or return it.
- No obligation or compensation. We owe you no compensation, credit, or attribution for Feedback, and sending it creates no contract, relationship, or obligation of any kind.
- Independent development. We and others working with us may already be developing, or may later develop, content, features, offerings, or other things that are similar or identical to your Feedback. Nothing in your Feedback limits what we may develop, make, use, or sell.
- License and patent rights. You grant DevNoun a perpetual, irrevocable, worldwide, royalty-free, fully paid, transferable, sublicensable license to use, reproduce, modify, publish, distribute, and commercialize Feedback for any purpose, and under any patent or other intellectual property right you hold in it to make, have made, use, sell, offer for sale, import, and otherwise exploit anything that embodies it.
- Waiver. You waive, and agree not to assert against DevNoun, its licensees, or its customers, any claim that anything DevNoun develops, makes, uses, or sells infringes or misappropriates rights in your Feedback, including any claim based on an idea, concept, or invention in it.
If you do not agree to these terms, do not send us ideas.
11. Subscriptions, Fees, and Billing
Some features of the Service require a paid subscription. Fees, seat limits, and billing periods are shown at purchase. By subscribing, you authorize us and our payment processor to charge the payment method you provide for recurring fees until you cancel. Subscriptions renew automatically at the end of each billing period unless cancelled before renewal. You may cancel at any time through the Service; cancellation takes effect at the end of the current billing period, and fees already paid are non-refundable except where the law requires otherwise. We may change fees with notice before they take effect for your next billing period. Fees exclude taxes, which you are responsible for. If payment fails, we may suspend or limit the Service until it is made.
12. Marketing Communications and Measurement
By submitting a form on the Site, providing contact information, or creating an account, you agree we may contact you regarding account and transactional matters (e.g., security, billing, sign-in codes, and updates) and, to the extent permitted by law and subject to your choices and consents, with marketing and promotional messages, through any channel you provide or enable, using manual or automated means, including email, SMS/MMS text messages, phone calls (including calls placed with an automatic telephone dialing system or using a prerecorded or artificial voice), voicemail (including ringless voicemail drops), messaging platforms, and in-product messages. Your consent to marketing is not a condition of any purchase. You can opt out of marketing by using unsubscribe links, replying STOP to texts, telling us on a call, or emailing privacy@formvessel.com. Account and transactional messages may still be sent when necessary. Message and data rates may apply.
You agree that we may measure marketing performance and user engagement using cookies, pixels, tags, analytics events, attribution tools, conversion APIs, aggregated reporting, and A/B testing, as described in our Privacy Policy.
13. Third-Party Services and Links
The Site and the Service may integrate with or link to third-party services (e.g., payment processing, hosting, analytics, CRM, email delivery, cloud storage, AI systems and assistants, and social networks). We do not control third-party services and are not responsible for them. Your use of third-party services is governed by their terms and policies. If you connect a third-party service to the Service (for example, a CRM), you authorize us to exchange data with it as you direct.
14. Disclaimer of Warranties
TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SITE, THE SERVICE, AND ALL CONTENT ARE PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ANY WARRANTIES ARISING OUT OF COURSE OF DEALING OR USAGE OF TRADE.
WE DO NOT WARRANT THAT:
- THE SITE OR THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE;
- CONTENT WILL BE ACCURATE, COMPLETE, CURRENT, RELIABLE, OR SUITABLE FOR YOUR PURPOSES;
- YOUR USE OF THE SERVICE WILL MAKE YOU COMPLIANT WITH HIPAA OR ANY OTHER LAW; OR
- DEFECTS WILL BE CORRECTED.
YOU ASSUME ALL RISK ARISING FROM YOUR USE OF THE SITE, THE SERVICE, AND ANY CONTENT. NOTHING IN THIS SECTION LIMITS DEVNOUN’S OBLIGATIONS UNDER A SIGNED BAA.
15. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW:
- NO INDIRECT DAMAGES. DEVNOUN WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR EXEMPLARY DAMAGES, OR FOR LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR RELATED TO YOUR USE OF (OR INABILITY TO USE) THE SITE, THE SERVICE, OR ANY CONTENT.
- CAP ON LIABILITY. DEVNOUN’S TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATED TO THE SITE, THE SERVICE, THESE TERMS, OR ANY CONTENT WILL NOT EXCEED THE GREATER OF: (A) THE AMOUNTS YOU PAID TO DEVNOUN FOR THE SERVICE IN THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM, OR (B) US $100.
- BASIS OF BARGAIN. YOU AGREE THAT THE LIMITATIONS IN THESE TERMS ARE A FUNDAMENTAL BASIS OF THE BARGAIN BETWEEN YOU AND DEVNOUN.
Some jurisdictions do not allow certain limitations, so some of the above may not apply to you to the extent prohibited by law. Nothing in these Terms creates any rights, remedies, or benefits in any third party, including Respondents.
16. Indemnification
You agree to defend, indemnify, and hold harmless DevNoun and its officers, members, managers, employees, contractors, agents, licensors, and affiliates from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys’ fees) arising out of or related to:
- your use of the Site, the Service, or any Content;
- your Customer Data, your forms, and your User Content, including any claim by a Respondent;
- your violation of these Terms; or
- your violation of any law or any third-party rights, including HIPAA and privacy laws.
We may assume the exclusive defense and control of any matter subject to indemnification, and you agree to cooperate.
17. Suspension and Termination
We may suspend or terminate your access to the Site or the Service at any time, with or without notice, for any reason, including if we believe you violated these Terms, failed to pay fees, or pose a risk to the Site, the Service, or others.
You may stop using the Site at any time and may cancel your subscription or delete your organization through the Service.
Upon termination, your right to use the Site and the Service stops immediately. Customer Data may be deleted after a reasonable period following termination or deletion of an organization, subject to backups, legal holds, and the BAA; export anything you wish to keep beforehand. Sections that by their nature should survive termination will survive, including Sections 5 (Customer Data and HIPAA), 6.4 (content policy), 7 (the licenses and assignments you grant us), 9 (intellectual property and enforcement), 10 (Feedback), 14 (disclaimers), 15 (limitation of liability), 16 (indemnification), and 18 through 25.
18. Governing Law and Exclusive Venue (No Arbitration)
These Terms and any dispute arising out of or related to these Terms, the Site, or the Service are governed by the laws of the State of Nevada, without regard to conflict of law rules.
Exclusive Venue: Except where prohibited by applicable law, you agree that any legal action or proceeding must be brought exclusively in the state or federal courts located in Clark County, Nevada, and you consent to personal jurisdiction and venue in those courts and waive any objection (including forum non conveniens).
If a court finds the “exclusive venue” portion unenforceable for a particular claim or user, then the parties agree that venue will be in the courts determined by that court to be proper, and the remainder of these Terms remains in effect.
19. Class Action Waiver
TO THE MAXIMUM EXTENT PERMITTED BY LAW, YOU AND DEVNOUN AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN AN INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, COLLECTIVE, CONSOLIDATED, OR REPRESENTATIVE PROCEEDING.
If a court rules this waiver is unenforceable for a particular claim, then that claim must proceed in court, but only for that claim, and the rest of the waiver remains in effect to the extent permitted.
20. Electronic Communications and Notices
You consent to receive communications from us electronically, including by email, in the Service, and by notices posted on the Site. You agree that agreements, notices, disclosures, and other communications we provide electronically satisfy any legal requirement that they be in writing. You agree that your electronic signature, and your checking a box or clicking a button that indicates acceptance, is binding and has the same effect as a handwritten signature, and that we may keep an electronic record of it. Notices to DevNoun must be sent to legal@formvessel.com or to the mailing address in Section 1.
21. Assignment
You may not assign or transfer these Terms or your rights under them without our prior written consent. We may assign these Terms and our rights and obligations at any time.
22. Severability
If any provision of these Terms is held invalid or unenforceable, the remaining provisions will remain in full force and effect.
23. No Waiver
Our failure to enforce any right or provision of these Terms will not constitute a waiver of that right or provision.
24. Entire Agreement and Order of Precedence
These Terms (and any policies referenced, including the Privacy Policy) constitute the entire agreement between you and DevNoun regarding the Site and the Service and supersede any prior agreements or understandings regarding them. If you have signed a BAA or another written agreement with DevNoun, that agreement controls over these Terms to the extent of any conflict within its subject matter.
